1. Agreement to These Terms

These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your," or "Buyer") and Epiphany AI LLC, a South Dakota limited liability company ("Epiphany AI," "we," "us," or "our"), which owns and operates the RevMyRide vehicle marketplace located at revmyride.com and any related applications, subdomains, and services (collectively, the "Platform").

These Terms apply to you when you browse Listings, contact Sellers, or otherwise use the Platform as a prospective purchaser of a vehicle (a “Buyer”). By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

We may update these Terms from time to time. The version in effect at the time of your use governs. Material changes will be communicated through the Platform or by email, and your continued use after changes take effect constitutes acceptance.

2. Definitions

• "Platform" means the RevMyRide website, applications, messaging tools, and related services operated by Epiphany AI LLC.
• "Listing" means any vehicle posting, including photos, descriptions, specifications, pricing, and disclosures, created by a Seller.
• "Seller" means any Dealer Seller or Individual Seller who lists a vehicle on the Platform.
• "Buyer" means any user who browses, inquires about, or seeks to purchase a vehicle through contact made on the Platform.
• "Transaction" means any negotiation, sale, purchase, exchange, financing, or transfer of a vehicle between a Buyer and a Seller, all of which occur entirely off-Platform between those parties.
• "Messaging" means the communication tools provided on the Platform that connect Buyers and Sellers.

3. RevMyRide Is a Marketplace Only

RevMyRide is a neutral listing and communication platform. Epiphany AI LLC is not a party to any Transaction.

The Platform exists solely to display vehicle Listings and to put Buyers and Sellers in contact with one another through Messaging. Epiphany AI LLC:

• is not a dealer, broker, auctioneer, agent, consignee, escrow agent, lender, or representative of any Buyer or Seller;
• does not own, inspect, possess, title, register, appraise, guarantee, or take custody of any vehicle listed on the Platform;
• does not participate in, negotiate, facilitate payment for, or oversee any Transaction;
• does not collect, hold, or process any portion of a vehicle sale price, and takes no commission or percentage of any sale;
• does not verify the accuracy of any Listing, the condition or legal status of any vehicle, or the identity, authority, or representations of any Buyer or Seller beyond any limited verification expressly described on the Platform.

All Transactions are conducted directly and exclusively between the Buyer and the Seller. Any contract of sale, payment arrangement, financing, warranty, title transfer, delivery, inspection, or dispute arising from a Transaction is solely between those parties. As a Buyer, you understand and agree that you deal with the other party at your own risk and that you are solely responsible for evaluating, conducting, and completing any Transaction.

Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Platform as a Buyer. You agree to provide accurate registration information and to keep it current. You are responsible for all activity under your account and for keeping your credentials secure.

Messaging and Communications

The Platform provides Messaging tools so that Buyers and Sellers can contact one another. You are solely responsible for the content of your communications and for any arrangements you make through them. Do not share more personal or financial information than necessary, and never send payment or sensitive financial details without independently verifying the other party.

Epiphany AI LLC does not monitor, screen, or guarantee any communication, and is not responsible for the accuracy, legality, or outcome of anything discussed or agreed through Messaging. We may, but are not obligated to, access communications to enforce these Terms, comply with law, or address safety or fraud concerns.

You agree not to use Messaging to harass, defraud, spam, or solicit users for unrelated purposes, or to circumvent the Platform's rules.

Buyer Acknowledgments

You acknowledge and agree that you purchase any vehicle at your own risk, directly from the Seller, and not from Epiphany AI LLC.

Specifically, as a Buyer you understand that:

• Listings are created by Sellers, and Epiphany AI LLC does not verify their accuracy or completeness;
• prices, availability, condition, mileage, history, and title status are represented by the Seller, not by Epiphany AI LLC;
• any negotiation, payment, inspection, financing, warranty, delivery, and title transfer are arranged solely between you and the Seller;
• Epiphany AI LLC does not provide, broker, or guarantee financing, insurance, escrow, inspection, or vehicle history;
• any “verified,” “trusted,” or “featured” label on the Platform is a convenience only and is not a guarantee of any Seller or vehicle.

Your Responsibility to Verify and Transact Safely

Because every Transaction happens off-Platform and directly between you and the other party, you are responsible for protecting yourself. We strongly encourage you to: independently verify the identity of the other party; inspect any vehicle in person or with a qualified mechanic; confirm the vehicle's title, lien status, registration, and odometer reading through official records; use secure and traceable payment methods; and complete all required title transfer and disclosure paperwork. Epiphany AI LLC is not responsible if you choose not to take these steps.

Prohibited Buyer Conduct

You agree not to: misrepresent your identity or intentions; attempt to defraud any Seller; use the Platform for any unlawful purpose; scrape, harvest, or misuse Listing data or Seller contact information; or interfere with the operation of the Platform.

No Warranties; Platform Provided “As Is”

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, EPIPHANY AI LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Epiphany AI LLC makes no representation or warranty that: any Listing is accurate, complete, current, or lawful; any vehicle exists, is as described, is roadworthy, or has clear title; any Buyer or Seller is legitimate, solvent, or will perform; or that the Platform will be uninterrupted, secure, or error-free. We do not endorse any user, Listing, or vehicle.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EPIPHANY AI LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR VEHICLE VALUE, ARISING OUT OF OR RELATING TO THE PLATFORM OR ANY TRANSACTION.

WITHOUT LIMITING THE FOREGOING, EPIPHANY AI LLC SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, INJURY, OR DAMAGE OF ANY KIND ARISING FROM OR RELATED TO: any Transaction or attempted Transaction; the condition, safety, legality, title, mileage, or description of any vehicle; the conduct, performance, solvency, or representations of any Buyer or Seller; payment, non-payment, fraud, theft, or default by any party; or any communication exchanged through Messaging.

You agree that any sale, purchase, or other Transaction is solely between the Buyer and the Seller, and that Epiphany AI LLC bears no responsibility or liability for it. To the maximum extent permitted by law, the total aggregate liability of Epiphany AI LLC to you for any and all claims relating to the Platform shall not exceed the greater of (a) the total subscription fees you paid to Epiphany AI LLC in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

Indemnification — You Hold Epiphany AI LLC Harmless

You agree to defend, indemnify, and hold harmless Epiphany AI LLC and its members, managers, officers, employees, contractors, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• any Transaction or attempted Transaction in which you participate;
• any vehicle you list, buy, sell, or inquire about, including its condition, title, mileage, safety, or legal status;
• your Listings, communications, or other content you submit;
• your breach of these Terms or violation of any law or the rights of any third party;
• any dispute between you and another Buyer or Seller.

Epiphany AI LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

Release of Claims Between Users

Because Epiphany AI LLC is not a party to any Transaction, you release Epiphany AI LLC, and its members, managers, officers, employees, contractors, and affiliates, from any claims, demands, and damages of every kind arising out of or connected with any dispute between you and any Buyer or Seller. If you are a California resident, you waive California Civil Code Section 1542, and you waive any similar provision of any other jurisdiction.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of South Dakota, without regard to its conflict-of-laws rules. Any dispute between you and Epiphany AI LLC arising out of or relating to the Platform or these Terms shall be resolved as follows.

Informal Resolution

Before filing any claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration

If the dispute is not resolved informally, it shall be resolved by final and binding arbitration administered by a recognized arbitration provider under its consumer or commercial rules, conducted in or remotely from Lawrence County, South Dakota, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Either party may bring an individual claim in small claims court instead, if it qualifies.

Class Action Waiver

You and Epiphany AI LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

If this arbitration agreement is found unenforceable, any litigation shall be brought exclusively in the state or federal courts located in or serving Lawrence County, South Dakota, and you consent to the personal jurisdiction of those courts.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced on the Platform, constitute the entire agreement between you and Epiphany AI LLC regarding the Platform and supersede any prior agreements.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice. Sections relating to disclaimers, limitation of liability, indemnification, release, and dispute resolution survive termination.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS, INCLUDING THE LIMITATION OF LIABILITY, INDEMNIFICATION, RELEASE, AND BINDING ARBITRATION PROVISIONS.
